1. About these terms
These terms govern your use of the Supply Sync platform, operated by [Registered business name — to be confirmed] (ABN [ABN — to be confirmed]). By registering or using the platform you agree to them on behalf of your business.
2. Business-to-business only
Supply Sync is a wholesale marketplace for businesses. You must hold a valid Australian Business Number (ABN) and act for business purposes. Goods purchased through the platform are acquired for resale or business use, not personal, domestic or household use.
3. Accounts and verification
All accounts are reviewed before approval. You must provide accurate business details and keep them current. You are responsible for all activity under your account and must keep your login secure.
We may suspend or close accounts that provide false information, breach these terms, or put other users at risk.
4. Our role as a marketplace
Supply Sync connects suppliers and retailers. Unless stated otherwise, the contract of sale for goods is between the supplier and the retailer. Suppliers are responsible for their listings, product quality, labelling, safety compliance, stock and delivery.
5. Pricing, GST and payment
All prices are in Australian dollars (AUD). Prices are shown exclusive of GST unless marked otherwise, and GST is added at checkout where applicable. Tax invoices are issued in the supplier's name.
Card and bank payments are processed securely by Stripe. Supply Sync charges suppliers a platform fee on completed orders, deducted before payout.
6. Orders, quotes and minimum quantities
Orders are subject to supplier acceptance and the minimum order quantity (MOQ) shown on each listing. Quotes (RFQs) are valid for the period stated by the supplier. Retailers may increase, but not reduce, order quantities before a supplier accepts the order.
7. Supplier obligations
Suppliers must only list goods they are lawfully entitled to sell, describe them accurately, comply with Australian food safety, product safety and labelling laws, and must not list prohibited or restricted goods. Listings may be flagged, hidden or removed by our moderation team.
8. Acceptable use
You must not misuse the platform, including by scraping data, circumventing fees by moving transactions off-platform after introduction, sending spam, uploading harmful content, or infringing anyone's intellectual property.
9. Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any right or remedy, or any guarantee, that cannot be excluded under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, as it applies to business purchasers.
10. Limitation of liability
To the extent permitted by law, Supply Sync is not liable for indirect or consequential loss, or for the acts or omissions of suppliers and retailers. Where liability cannot be excluded, it is limited to resupplying the service or the fees paid to us for the relevant transaction.
11. Privacy
We handle personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Business contact details are shared between trading parties only as needed to fulfil orders.
12. Changes and termination
We may update these terms from time to time and will notify registered users of material changes. You may close your account at any time; outstanding orders and payments remain payable.
13. Governing law
These terms are governed by the laws of Western Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
